CTI3 Platform & Mobile Digital Identity Wallet Terms of Service

1. Acceptance of Terms

These Terms of Service (the “Agreement”) are entered into by and between Precision Forge LLC (“Precision Forge,” “we,” “us,” or “our”) and you (“User,” “you,” or “your”), the individual or entity accessing, using, or downloading the CTi3 Platform & Mobile Digital Identity Wallet (the “Services”). By accessing, using, or downloading the Services, you agree to be bound by these Terms. If you do not agree with these terms, you must refrain from using the Services. 

Precision Forge reserves the right to modify these Terms at any time. We will notify you of any material changes through the Services or other means. Continued use of the Services after changes have been posted constitutes your acceptance of those changes. 2. Services

The Services provided by Precision Forge include the CTi3 platform and mobile wallet, which allows you to store and manage digital credentials, documents, and other information securely. The Services also allow you to receive endorsements of your credentials from trusted organizations.

To use the Services, you agree to:
  • Register with accurate, up-to-date information.
  • Maintain an account in your real name and be at least 13 years of age or the applicable legal age in your jurisdiction.
  • Comply with all applicable laws and regulations.
The Services include access to the CTi3 platform and mobile wallet, which provide features such as credential storage, endorsement, and sharing. Certain features may be available exclusively to organizations, businesses, or entities.

3. Registration and Account Management

To use the Services, you must create an account. By registering, you agree to provide true, accurate, current, and complete information as requested by the registration form. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.

You agree to immediately notify Precision Forge if you suspect any unauthorized use of your account or any breach of security. Precision Forge is not responsible for any activity under your account, whether authorized or unauthorized, except where required by law.

4. CTi3 Mobile Digital Identity Wallet

The CTi3 Mobile Digital Identity Wallet (“CTi3 Wallet”) allows you to store, manage, and access digital copies of your important documents, credentials, and scanned documents (e.g., PDFs). The CTi3 Wallet can be used to facilitate the exchange of digital information with trusted organizations, such as governmental bodies or healthcare providers.

Holders / Endorsers

As a Holder, when you sign up for the CTi3 Wallet, you will be assigned a unique code for initial setup. To protect your privacy, you should not share this code with others. You will then create a password to access and manage your CTi3 Wallet. Once logged in, you can begin adding, organizing, and storing your digital documents, credentials, and IDs.

If you are associated with an organization that has provided you with a CTi3 Wallet, you may opt to have your documents “endorsed.” This means a trusted entity within your organization will review and validate the documents you upload to your wallet. The endorsement process is optional and is designed to give others greater confidence in the authenticity of your digital documents.

During the endorsement process, basic information such as your name and the name of the document you want endorsed (e.g., ‘health card,’ ‘driver’s license,’ etc.) will be exchanged between your CTi3 Wallet and the endorsing organization’s app. Please note that CTi3 Wallet does not store your documents, which reside solely within your local device's wallet application.

By using the CTi3 Wallet, you confirm that you understand and consent to this data exchange process, and you acknowledge that it is your responsibility to handle your personal information and documents with care. If you have any questions or need assistance, please contact the organization that provided you with the wallet.

Endorsers Only

As an Endorser, when a Holder in your organization initiates the endorsement process, basic information such as the Holder’s name and the name of the document they wish to have endorsed (e.g., ‘health card,’ ‘driver’s license,’ etc.) will be exchanged and stored in your CTi3 Wallet app. After reviewing the document and confirming its accuracy, you may provide a digital endorsement, which will include your name, title, and organization.

It is the Endorser’s responsibility to thoroughly review the Holder’s documents before providing an endorsement. The endorsement process must be conducted with care, ensuring all information is correct and valid.

By agreeing to these Terms, you confirm that you understand and accept the data exchange process outlined above. You also acknowledge that it is your responsibility to manage the information related to your endorsements and to handle your own personal information carefully. 5. User Responsibilities

  • By using the Services, you agree to:
  • Not use the Services for any unlawful purposes.
  • Not impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Not engage in any activity that could harm the integrity or performance of the Services, including but not limited to distributing viruses or other harmful code.
  • Not use the Services to infringe upon the intellectual property rights or privacy of others.

6. Privacy

By using the Services, you consent to the processing of your personal information in accordance with our Privacy Policy, which can be found [here](https://www.cti3.com/privacy). This includes the collection, storage, and use of your personal data to facilitate the Services and enhance your user experience. You are responsible for ensuring that the information you provide is accurate and up to date.

7. Endorsement Process

For organizations that provide endorsement services, when you upload documents for endorsement through the CTi3 Wallet, the relevant organization will review your documents. Your personal details and document information (such as the name of the document) will be shared with the organization to facilitate the endorsement. The organization may add a digital signature to the document to confirm its validity.

You understand that Precision Forge does not store your documents; they reside locally on your device. Precision Forge is not responsible for the content of any documents or the actions taken by endorsing organizations.

8. Restrictions on Use

You agree that you will not:
  • Reverse engineer, decompile, or attempt to derive the source code of the Services.
  • Use the Services to engage in fraudulent activities.
  • Violate any intellectual property rights, including but not limited to unauthorized use of trademarks, logos, or other proprietary materials.
  • Distribute or transmit any harmful or disruptive code via the Services.

9. Intellectual Property

All intellectual property rights related to the Services, including but not limited to software, design, and branding, are owned by Precision Forge or its licensors. By using the Services, you do not acquire any ownership rights to the intellectual property associated with them.

10. Warranties and Disclaimers

Precision Forge warrants that the Services will function as described, but **makes no other warranties, express or implied**. Specifically, we do not warrant that the Services will be error-free or uninterrupted. To the maximum extent permitted by applicable law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Limitations of Liability

To the fullest extent permitted by law, Precision Forge and its affiliates are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Services, including but not limited to loss of data, loss of profits, or any other damages related to your use or inability to use the Services.

In no event shall our total liability exceed $100, whether arising from breach of contract, tort (including negligence), or otherwise, even if we have been advised of the possibility of such damages.

12. Termination

Precision Forge reserves the right to suspend or terminate your account at any time if you violate these Terms or if required by law. You may terminate your account by following the instructions in the Services. Upon termination, your right to use the Services will immediately cease, and any data associated with your account may be deleted, except as required by law.

13. Governing Law

This Agreement is governed by the laws of the State of North Carolina, without regard to its conflict of law principles. For users in the European Union or EEA, Irish law governs all claims related to the Services.

14. Dispute Resolution

In the event of a dispute, we agree to resolve it through binding arbitration, unless prohibited by applicable law. Any legal action or proceeding relating to this Agreement shall be brought exclusively in the courts located in North Carolina or Ireland, depending on the jurisdiction of the user.

15. Miscellaneous

If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect. No failure or delay by either party in exercising any right under these Terms will constitute a waiver of such right. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
